Firstly, we will meet to discuss whether a S Corporation, C Corporation or Limited Liability Company best suits your needs.

Then we will discuss your name for your corporation and do a search at the Secretary of State’s office to see whether your choice of name is available.

After that we will complete and submit the Articles of Incorporation to the Secretary of State’s office. Many of the quickie corporation deals on the Internet only do this filing and nothing else.

After we have filed the Articles of Incorporation, we will prepare the Minutes of the Organizational Meeting at which the stockholders are named and the directors are elected. At the same time we will create the constitution for the corporation which, is known as the By-laws. We will prepare the stock certificates for the first stockholders and enter their names on the Stock ledger.

We will also prepare the Notice by a Stock Corporation which must be filed with the Secretary of State within 90 days as well as prepare and file the required Security’s Exemption with the Commisioner of Corporations.

We apply for the Employment Identification Number for the Corporation. This is the corporation’s tax number.

What are all the charges?

1. Our fee for a limited time is $850.00. This is for our professional services listed above.
2. The charges that must be paid to the Secretary of State are:

a) $100.00 Articles of Incorporation

b) $15.00 Filing fee

c) $25-00 Statement of Information by Domestic Stock Corporation

3. Cost of Corporate Binder, including Custom Stock Certificates, Seal of Corporation and Stock Ledger $130.00 (This is optional but highly recommended. It is where you maintain all your corporate records. We will show you the invoice we receive from the people we use to make it)
4. Notice to be filed with Commissioner of Corporations. The amount of this charge varies depending on the value of the stocks purchased:

6. We charge a flat 5% of the fee for miscellaneous charges like courier services, mail, traveling, photocopies, telephone, faxes etc. $ 43.00

Accordingly, the total charges for fees and disbursements are $1,188.00 for a corporation which sells stock for less than $25,000.

How long does it take?

We can form a corporation and complete all the legal work in 10-21 days, depending on the backlog at the Secretary of States office.

If it is urgent, we can do so faster, but we charge additional fees for this expedite service. The Secretary of States charges $350.00 for a 24 hour turn around service.

What are the costs for a LLC?

They are very similar to the costs of a corporation

The filing of the Articles of Organization is $70.00 with a filing fee of $15
The Statement of Information by a LLC is $20.00

The other costs are very much the same so the end result is that it costs about $35.00 less to form an LLC than to incorporate a corporation
